The Role and Composition of the Board of Directors

The Board of Pentland Housing Association (PHA) is responsible for all aspects of the Association’s activities. It may delegate some of its functions to committees, working groups or advisory panels, in accordance with its Rules and Standing Orders.

The Board is made up of at least 7 members elected by its membership. Up to 3 members may be co-opted, in accordance with PHA’s Rules. Membership of the Board will not exceed 15, including co-optees.

The Board is responsible for:

  • Providing leadership, control and direction to PHA
  • Ensuring that PHA achieves its aims and objectives
  • Ensuring that PHA complies with all statutory and regulatory requirements

The Board will meet at least 6 times in each calendar year.

Membership

Membership is open to anyone that has an interest in housing issues.

The Association currently has 146 members and we encourage membership, particularly from our tenants, shared owners and equity owners, as well as from community and representative groups.

The cost of membership is £1.00 for a non-refundable share. All members are entitled to:

  • Attend the AGM
  • Receive a copy of our annual report and financial statements
  • Vote in respect of the election of the Board of Directors

Please note if the committee is satisfied that:

  • You have failed to tell us of a change of address as set out in Rule 11 or;
  • You have failed to attend 5 AGMs in a row and you did not submit apologies;

We will end your membership and cancel your share. The value of the share will then belong to us with effect from the date of a Committee resolution to that effect. The ending of your membership will be recorded in the register of Members referred to in Rule 67.
